1. Acceptance of terms
Fasha is operated by Fasha LLC, a Delaware limited liability company. These Terms of Service (“Terms”) govern your access to and use of Fasha’s enterprise resource planning and real estate platform, including services previously branded fwdERP, its website, and associated features and applications (the “Service”). By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you have authority to bind it to these Terms.
2. The Service
Fasha provides cloud-based accounting, financial management, project and property operations, customer relationship management, invoicing, reporting, AI-assisted workflows, and integrations with third-party services. Features and availability may vary by account, permission, and plan.
3. Your account
You must provide accurate account information, keep your credentials secure, update information when it changes, and be at least 18 years old. You are responsible for activity under your account and should promptly notify us of unauthorized use.
4. Acceptable use
Use the Service only for lawful purposes. Do not infringe others’ rights, upload malicious content, attempt unauthorized access, disrupt the Service, use it for fraud, reverse engineer it except where law permits, or resell it without authorization.
5. Third-party integrations
The Service may connect to Google Workspace (Gmail and separately enabled Google Calendar features), banking and financial services, payment processors, and communication platforms. When you connect a service, you authorize Fasha to access and use information from it as described in the Privacy Policy and according to the permissions you grant. The third party’s own terms and policies also apply. We are not responsible for its availability, accuracy, or content.
6. Data and privacy
You retain ownership of data you submit. You grant Fasha LLC permission to use, store, and process that data to provide and improve the Service, subject to our Privacy Policy and the additional restrictions on Google user data described there. Connecting or disconnecting a provider and deleting previously stored business records are separate actions.
7. Fees
Paid features may require fees disclosed at purchase. You agree to pay applicable fees. Fees are non-refundable except where law requires or we expressly state otherwise. We may change pricing with reasonable notice; nonpayment may result in suspension or termination.
8. Intellectual property
The Service and its original content, features, and functionality belong to Fasha LLC and are protected by applicable intellectual property laws. While you comply with these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes.
9. Limitation of liability
To the maximum extent permitted by law, Fasha LLC and its affiliates, officers, directors, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from your use of or inability to use the Service, third-party conduct or content, or unauthorized access to your data. Our total liability will not exceed the amount you paid us in the 12 months before the claim.
10. Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.
11. Indemnification
You agree to defend and hold harmless Fasha LLC and its affiliates, officers, directors, employees, and agents against claims, losses, and reasonable legal expenses arising from your use of the Service, violation of these Terms, or violation of another person’s rights.
12. Termination
We may suspend or terminate access for breach of these Terms or other reasons permitted by law. You may request account termination by contacting us or using an available account deletion feature. Provisions that by their nature should survive termination remain in effect.
13. Governing law
These Terms are governed by the laws of Delaware, United States, without regard to conflicts of law. Disputes concerning these Terms or the Service will be resolved in Delaware state or federal courts.
14. Changes to these terms
We may change these Terms. If a revision is material, we will provide at least 30 days’ notice before it takes effect. Your continued use of the Service after the revised Terms take effect constitutes acceptance.
15. Severability and contact
